Terms of Use

These Terms of Use (the "Terms") are a binding agreement between you and Hansery, Inc., a Delaware corporation ("Hansery," "we," "us," or "our") governing your access to and use of the Hansery website, applications, dashboards, and services, including hansery.com, the Pro and vendor dashboards, and the Purchase Order (PO) system (collectively, the "Services").
PLEASE READ CAREFULLY. Section 17 contains a binding arbitration agreement and a class-action waiver that affect how disputes are resolved. You may opt out of arbitration within 30 days as described in Section 17.
By creating an account, accepting these Terms, or using the Services, you agree to these Terms, our Code of Conduct, Privacy Policy, Cookie Policy, and Copyright/DMCA Policy. If you are a Vendor, you also agree to the Vendor Enrollment Agreement. If you do not agree, do not use the Services.
1. Who may use the Services
The Services are for businesses and trade professionals only. You may use the Services only if you are at least 18 years old, can form a binding contract, and are not barred from using the Services under applicable law. If you use the Services on behalf of a company or firm, you represent that you are authorized to bind that entity, and "you" includes that entity.
2. Definitions
- Pro — a verified trade professional — an interior designer, architect, general contractor, builder, or developer — who uses the Services to discover products, build specifications, and route purchase orders.
- Vendor — a brand, manufacturer, distributor, or their representative that lists products and receives orders through the Services.
- Client — the homeowner, developer, or business for whom a Pro specifies products; Clients access limited views via tokenized links.
- Purchase Order (PO) — a purchase order a Pro issues to a Vendor through the Services, with a locked manifest and status/audit trail.
- Content — any data, text, images, files, or materials submitted to or made available through the Services.
3. Hansery's role — access layer, not a party to transactions
Hansery is a technology platform that connects verified trade professionals with Vendors. Hansery is not the buyer, seller, purchaser, merchant of record, broker, agent, or guarantor in any transaction between a Pro, a Vendor, and a Client, and is not a party to any purchase order or agreement between them.
- Pros transact for their own (or their Client's) account, under their own business and tax identity. Each Pro is responsible for its own tax obligations, resale certificates, and the legitimacy of its use of trade pricing.
- Hansery does not take title to, store, ship, inspect, or guarantee any product, and does not warrant Vendor pricing, lead times, availability, quality, or fulfillment.
- Payments for products occur directly between the Pro and the Vendor, off platform. Hansery does not collect, hold, escrow, disburse, or process funds for product purchases. Hansery may capture proof-of-payment receipts as a record only. (Hansery does charge its own fees to Vendors per Section 6.)
- Your dealings with any other user are solely between you and that user. You are responsible for your own due diligence, including verifying licenses, insurance, terms, and suitability. To the extent permitted by law, you release Hansery from claims arising out of disputes with other users or third parties.
4. Accounts and verification
You must provide accurate, current, and complete information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
Pro verification. Access to trade pricing requires verification. You agree to provide truthful credentials — which, depending on your Pro category, may include a resale/sales-tax certificate, business license, contractor's license, EIN, W-9/tax form, and professional license or trade-association details — and authorize us to verify them, including through third-party verification providers and review of publicly available records. Approval is at Hansery's sole discretion and may be immediate or take several days. We may re-verify at any time, and you must keep credentials (e.g., resale certificates) current; we may suspend trade pricing or access if credentials lapse, cannot be verified, or appear inaccurate or fraudulent.
Vendor accounts. Vendors must accept the Vendor Enrollment Agreement and provide accurate catalog, contact, and billing information.
5. Purchase Orders (POs), orders, and payment receipts
The PO system lets a Pro assemble a purchase order, lock its manifest, route it to a Vendor, and track its status. You acknowledge that:
- the PO manifest, messages, receipt uploads, approvals, and status changes are recorded with timestamps as a permanent audit trail;
- a PO is an order between the Pro and the Vendor — Hansery is not a party to it (Section 3);
- payment is made directly to the Vendor by means the Vendor accepts; you may upload a receipt to record payment, and the order may auto-confirm if a Vendor does not respond within the stated window;
- you are responsible for the accuracy of order details, addresses, and payment records you submit.
6. Fees and billing
Hansery is free for Pros. Vendors list for free and pay the attributed-sale platform fee described below.
Attributed-sale platform fee (Vendors). Where applicable, Vendors agree to pay Hansery a platform fee of 3% of the value of purchase orders that close through the Services, charged automatically to the Vendor's payment method on file when the order is confirmed paid. Details are in the Vendor Enrollment Agreement.
Other paid features. We may introduce optional paid features in the future; any fees and the terms that apply to them will be presented to you before you incur them.
Refunds. Except where required by law or expressly stated, platform fees are non-refundable. Product purchases are made directly between the Pro and the Vendor off platform (Section 3); any return, refund, cancellation, or warranty for a product is handled directly between the Pro and the Vendor under the Vendor's own policies — Hansery does not process product payments and does not issue product refunds. A Vendor who disputes a marked-paid order in good faith may request a fee adjustment as described in the Vendor Enrollment Agreement.
Changes; late payment. We may change our fees prospectively with notice. Late or failed payments may result in suspension and reasonable late fees/collection costs to the extent permitted by law.
7. Acceptable use
You agree not to, and not to permit anyone to:
- provide false credentials, misrepresent trade eligibility, or use trade pricing for ineligible or resale-for-profit purposes not permitted by the applicable Vendor or law;
- use another's account, share accounts, or create accounts by automated means;
- access, scrape, crawl, harvest, or index the Services or Content except as we expressly permit;
- use the Services or Content to train any machine-learning or AI system without our prior written permission;
- resell, sublicense, or commercially exploit the Services or Vendor data except as intended;
- upload unlawful, infringing, deceptive, harmful, or malicious content or code;
- circumvent security, access controls, rate limits, or usage restrictions;
- interfere with or disrupt the Services; or
- use the Services in violation of applicable law, including export, sanctions, tax, and anti-corruption laws.
Beyond these restrictions, your conduct on the Services is also governed by our Code of Conduct. We may investigate and take action (including suspension or termination) for any suspected violation.
8. Content and intellectual property
Your Content. You retain ownership of Content you submit. You grant Hansery a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers) license to host, store, reproduce, display, modify (for formatting), and use your Content solely to operate, provide, secure, and improve the Services and to perform the functions you direct (e.g., transmitting a PO to a Vendor, displaying a Vendor catalog, generating analytics). You represent that you have the rights to grant this license and that your Content does not infringe or violate any third-party rights or law.
Vendor catalog data. Vendors grant Hansery the license described in the Vendor Enrollment Agreement to ingest, normalize, store, display, and distribute their product data and images within the Services (including public storefronts and search).
Hansery IP. The Services, including software, design, text, and the Hansery marks, are owned by Hansery or its licensors and protected by law. We grant you a limited, revocable, non-transferable, non-exclusive license to use the Services for their intended business purpose. No other rights are granted.
Feedback. If you give us feedback or suggestions, we may use them without restriction or obligation to you.
9. Automated tools and AI
The Services may use automated tools and third-party AI/LLM services to ingest and normalize catalog data and to support related product features. AI outputs may be inaccurate or incomplete, are provided "as is," and are not professional, legal, design, or financial advice. You are responsible for reviewing outputs before relying on them. We do not use your data to train or improve AI/LLM models, as described in the Privacy Policy.
10. Third-party services and links
The Services may integrate with or link to third-party services (e.g., Vendor websites, payment pages, verification providers). We are not responsible for third-party services, and your use of them is governed by their terms.
11. Confidentiality of analytics and pricing
Trade pricing, discount tiers, and other non-public information made available through the Services are confidential. You agree not to disclose or use them except for your permitted use of the Services.
12. Termination
You may stop using the Services and close your account at any time (fees remain subject to Section 6). We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected violation of these Terms, risk to the Services or other users, lapse of verification, or extended inactivity. On termination, your right to use the Services ceases; Sections that by their nature should survive (including Sections 3, 6–8, 11, and 13–18) will survive. We have no obligation to retain your Content after termination, except as required by law or our Privacy Policy.
13. Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Hansery does not warrant that the Services will be uninterrupted, secure, or error-free, or that any product information, pricing, lead time, verification result, or analytics is accurate, complete, or reliable. Hansery is not responsible for the acts, omissions, products, pricing, or fulfillment of any Vendor, Pro, or Client.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANSERY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
HANSERY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID HANSERY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow certain limitations; in those cases, the above applies to the fullest extent permitted.
15. Indemnification
You will indemnify, defend, and hold harmless Hansery and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your Content; (c) your violation of these Terms or applicable law; (d) your misrepresentation of trade eligibility or misuse of trade pricing; or (e) your transactions or disputes with any other user or third party.
16. Changes to the Services and Terms
We may modify or discontinue the Services, in whole or in part, at any time. We may update these Terms by posting the revised version with a new effective date and, for material changes, providing additional notice. Your continued use after an update constitutes acceptance.
17. Dispute resolution; binding arbitration; class-action waiver
17.1 Informal resolution first. Before starting an arbitration or lawsuit, you agree to first contact us at legal@hansery.com with a written description of the dispute and to engage in a good-faith informal process for at least 60 days. This is a condition precedent to formal proceedings.
17.2 Binding arbitration. If not resolved, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator, seated in Orange County, California, under the Federal Arbitration Act. The arbitrator decides arbitrability.
17.3 Class-action waiver. Disputes will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any form of representative proceeding.
17.4 Opt-out. You may opt out of this arbitration agreement by sending written notice to legal@hansery.com within 30 days of first accepting these Terms. If you opt out, Section 18 (courts) governs.
17.5 Exceptions. Either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property or unauthorized-access matters.
18. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Subject to Section 17, the exclusive venue for any permitted court action is the state or federal courts located in Orange County, California, and you consent to their jurisdiction.
19. General
- Entire agreement. These Terms and the documents they incorporate are the entire agreement between you and Hansery regarding the Services.
- Severability. If any provision is unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent; we may assign them (e.g., in a business transfer).
- Notices. We may provide notices via the Services or your account email.
- Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
- Relationship. No partnership, agency, or employment relationship is created.
